1. 企業秘密や個人情報など、特定の機密情報を他者に開示しないことを約束する法的契約。

特定の機密情報を、契約を結んだ相手に開示しないことを約束する法的な契約書を指します。企業間の提携、新製品開発、M&Aなど、機密性の高い情報が共有される際に用いられ、情報漏洩を防ぐ目的があります。略してNDA（エヌディーエー）と呼ばれることも非常に多いです。
